I, the undersigned member of the Proctor Museum of Natural Science, Inc. hereby give my proxy, for my voting right, as a member of the Proctor Museum of Natural Science, Inc., to vote in the 2011 Annual Meeting of the Voting Member Council and if I am on the Board of Directors to also vote at the Board of Directors immediately following the Voting Member Council meeting.

If I am personally present, then I may personally vote and this Proxy becomes inoperative by virtue of my personal vote. Otherwise, I give to my proxy the right to vote in my place, on any matter before the Voting Member Council and the Board of Directors, the same as if I were present to vote.

This proxy is only for the current Voting Member Council Annual Meeting and current Board of Directors meeting following that meeting.
